Terms of Service

These Terms of Service (the "Terms") form a legally binding agreement between you and TIP TAP WORLD LLC, an Arizona limited liability company ("TipTap World," "we," "us," or "our"). They govern your access to and use of the TipTap World website, mobile-optimized web application, NFC and QR code workflows, SMS communications, and related services (collectively, the "Service") available at https://tiptap.world. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

BY CREATING AN ACCOUNT, CLICKING "I AGREE" (OR A SIMILAR CONTROL), OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE TO THESE TERMS, INCLUDING THE BINDING ARBITRATION CLAUSE AND CLASS-ACTION WAIVER IN SECTION 19. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract under applicable law to use the Service. By using the Service, you represent and warrant that you meet these requirements, that you are not barred from receiving services under the laws of the United States or any other applicable jurisdiction, and that you are not listed on any US government list of sanctioned or prohibited parties. The Service is currently available only to users with a United States mailing address and US phone number; workers additionally require a US bank account and US-issued government identification to receive payouts.

2. The Service and Our Role

TipTap World is a software platform that facilitates digital gratuities between "tippers" (customers who voluntarily send tips) and "workers" (service professionals who receive tips). Tippers initiate tips via NFC tap, QR code scan, or direct phone-number entry. Workers receive tips into a connected bank account via Stripe Connect.

TipTap World is a technology platform, not a bank, money transmitter, or financial advisor. All movement of funds is processed by Stripe, Inc. and/or its affiliates pursuant to Stripe's applicable agreements, including the Stripe Connected Account Agreement and the Stripe Services Agreement. By registering as a worker, you also agree to those Stripe terms.

3. Accounts and Security

To access certain features of the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You agree to notify us promptly at support@tiptap.world of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with this section. We may suspend, restrict, or terminate accounts that we reasonably believe violate these Terms, applicable law, or the rights of others.

4. Worker Onboarding and KYC

Workers who wish to receive tips must complete identity verification ("Know-Your-Customer" or "KYC") through Stripe Identity, including submission of a government-issued photo identification and, where required, a live selfie, date of birth, address, and (for US workers) a taxpayer identification number such as a Social Security Number. Verification is required by United States law (including the Bank Secrecy Act and applicable anti-money-laundering regulations) and to prevent fraud. We and Stripe may decline, limit, suspend, or terminate accounts that fail or refuse verification, that are determined to present unacceptable risk, or that are otherwise prohibited under Stripe's acceptable-use policy or applicable law. Workers must keep their verification information accurate and current.

5. Tips, Fees, and Payouts

All tip transactions are processed by Stripe under Stripe's applicable agreements. Tippers' payment methods are charged at the time the tip is sent. Authorized tips are credited to a worker's connected Stripe account and disbursed to the worker's bank account according to the worker's payout schedule (typically one to two business days after a successful tip, subject to Stripe's policies and applicable banking timelines).

Platform fee. TipTap World charges a platform fee on tips processed through the Service. The current fee schedule is disclosed in-product before the transaction is confirmed and may be updated from time to time as provided in Section 20. Stripe processing fees and any applicable network or interchange fees also apply and are deducted from the gross tip amount. Workers receive the net amount after applicable fees.

Authorized use. Tips processed through the Service must be voluntary gratuities for personal services. The Service may not be used as a substitute for the sale of goods or services, to process payments for goods or services classified outside of tipping, or for any transaction prohibited by Stripe's acceptable-use policy (including, without limitation, transactions related to adult-content services where prohibited, regulated investments, gambling, illegal goods or services, intellectual-property infringement, and the other restricted categories described at https://stripe.com/legal/restricted-businesses).

Tip claim window. When a tip is sent to a worker who is not yet registered with the Service, the worker receives an SMS claim link that is valid for 30 days from the date the tip is initiated. If the tip is not claimed within 30 days, the tip will be returned to the tipper (less any non-refundable Stripe processing fees, where applicable). If the tip cannot be returned to the original payment method due to circumstances beyond our control, we will follow applicable unclaimed-property laws and, where required, escheat the funds to the appropriate state authority.

Holds, reversals, and clawbacks. We and Stripe may place a hold on, reverse, or withhold payouts in cases of suspected fraud, chargebacks, disputes, violations of these Terms or Stripe's policies, regulatory inquiries, or as otherwise required by law. We may also deduct previously credited amounts from future payouts to recover refunds, chargebacks, fees, or amounts owed.

6. Refunds and Disputes

Because tips are voluntary gratuities, tips are generally final and non-refundable once accepted by the worker. We will, however, review refund requests in cases of demonstrable error — including incorrect amount, duplicate charges, or unauthorized transactions — made within seven (7) days of the original transaction. To request a refund, contact support@tiptap.world with the transaction details. Approved refunds will be returned to the tipper's original payment method and may exclude non-refundable Stripe processing fees. Chargebacks initiated through a card issuer are handled in accordance with Stripe's dispute resolution procedures and applicable card-network rules.

7. Communications and SMS Consent

By using the Service, you consent to receive electronic communications from us regarding your account, transactions, and the Service. By providing your phone number and affirmatively opting in (for example, by checking the SMS consent box at signup or claiming a tip), you also consent to receive transactional SMS messages from TipTap World as described in Section 5 of our Privacy Policy, which is incorporated into these Terms by reference. You may opt out of SMS at any time by replying STOP. Message and data rates may apply, and message frequency varies. We do not sell, rent, lease, or share phone numbers with third parties for their own marketing purposes.

8. Acceptable Use

You agree that you will not, and will not attempt to:

Violations may result in immediate account suspension or termination, forfeiture of pending payouts to the extent legally permissible, and reporting to law enforcement, regulators, or affected third parties where appropriate. We reserve the right, but assume no obligation, to investigate suspected violations and to cooperate with law enforcement.

9. Taxes and Tax Reporting

Workers are independent contractors with respect to TipTap World and are solely responsible for reporting and paying all federal, state, and local taxes due on tips received, including, where applicable, self-employment taxes. TipTap World does not provide tax advice. We may issue IRS Form 1099-K or similar tax documents to workers and report tip income to the IRS and to state tax authorities where required by law, including in connection with the federal and state reporting thresholds in effect for the relevant tax year. Workers are responsible for providing accurate taxpayer information (such as name, address, and taxpayer identification number) and for updating that information when it changes. Failure to provide accurate taxpayer information may result in backup withholding or suspension of payouts.

10. Intellectual Property

The Service, including all software, designs, text, graphics, logos, icons, audio, video, trademarks, service marks, trade dress, and the selection and arrangement thereof, is owned by or licensed to TipTap World and is protected by United States and international intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for its intended purpose. All rights not expressly granted to you are reserved by TipTap World and its licensors. The TipTap World name and logo are trademarks of TIP TAP WORLD LLC. You may not use our marks without our prior written consent.

11. User Content and Feedback

You retain ownership of any content you submit to the Service (such as your display name, profile photo, or bio). You grant TipTap World a worldwide, royalty-free, non-exclusive license to host, store, reproduce, modify, and display that content solely as necessary to operate, provide, and improve the Service. You represent that you have all rights necessary to grant this license. If you choose to send us feedback, suggestions, or ideas about the Service, you agree that we may use that feedback without any obligation to you.

12. Third-Party Services

The Service integrates with third-party services, including Stripe (payments, payouts, and identity verification) and Twilio (SMS delivery). Your use of those services may be subject to those providers' own terms and privacy notices, including Stripe's Services Agreement and Connected Account Agreement. We are not responsible for the availability, accuracy, or content of third-party services, and your use of those services is at your own risk.

13. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express, implied, or statutory. To the maximum extent permitted by applicable law, TipTap World and its affiliates, officers, employees, agents, and licensors disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing, course of performance, or usage of trade. We do not warrant that the Service will be uninterrupted, timely, error-free, or secure; that defects will be corrected; or that the Service or the servers that make it available are free of viruses or other harmful components. Some jurisdictions do not allow the exclusion of certain warranties; in such jurisdictions, the foregoing disclaimers apply to the fullest extent permitted by law.

14. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall TipTap World, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, business, data, use, goodwill, or other intangible losses, arising out of or in connection with these Terms, the Service, or the use of or inability to use the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the aggregate liability of TipTap World and its affiliates for any and all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total fees you paid to TipTap World in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars (US $100). The foregoing limitations apply even if the remedies provided in these Terms fail of their essential purpose. Some jurisdictions do not allow certain limitations of liability; in such jurisdictions, our liability is limited to the fullest extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless TipTap World and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your access to or use of the Service; (b) your violation of these Terms or our Privacy Policy; (c) your violation of any law or third-party right, including any intellectual-property, privacy, or publicity right; (d) any dispute between you and another user; or (e) your tax obligations relating to tips received through the Service. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

16. Termination

You may terminate your account at any time through your account settings or by emailing support@tiptap.world. We may suspend, restrict, or terminate your access to all or part of the Service at any time, with or without notice, for any reason, including any actual or suspected violation of these Terms or applicable law, any risk or possible legal exposure to us, or extended inactivity. Upon termination, your right to use the Service immediately ceases. Pending tips, payouts, refunds, and disputes will be resolved in accordance with these Terms, Stripe's policies, and applicable law.

17. Survival

The following sections survive any expiration or termination of these Terms: Section 5 (Tips, Fees, and Payouts) with respect to amounts owed; Section 6 (Refunds and Disputes); Section 9 (Taxes); Section 10 (Intellectual Property); Section 11 (User Content and Feedback) with respect to the license you grant; Section 13 (Disclaimers); Section 14 (Limitation of Liability); Section 15 (Indemnification); Section 18 (Governing Law); Section 19 (Dispute Resolution); and any other provisions that by their nature are intended to survive.

18. Governing Law and Venue

These Terms and any non-contractual obligations arising out of or in connection with them are governed by and construed in accordance with the laws of the State of Arizona, United States of America, without regard to its conflict-of-laws principles. Subject to Section 19, any judicial proceeding permitted under these Terms shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

19. Dispute Resolution; Arbitration; Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES YOU AND TIPTAP WORLD TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT.

Informal resolution. Before initiating arbitration, you and TipTap World agree to first attempt to resolve any dispute informally by contacting legal@tiptap.world with a written description of the dispute and your contact information. The parties will negotiate in good faith for at least sixty (60) days before commencing arbitration.

Binding arbitration. Except for the excluded claims described below, you and TipTap World agree to resolve any and all disputes, claims, or controversies arising out of or relating to these Terms or the Service (each, a "Dispute") exclusively through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The arbitration shall be conducted by a single neutral arbitrator. The seat of the arbitration shall be Maricopa County, Arizona, although in-person hearings, if any, may be conducted at a mutually convenient location or by videoconference where permitted by the AAA Rules. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class-action waiver. YOU AND TIPTAP WORLD EACH WAIVE THE RIGHT TO HAVE ANY DISPUTE BROUGHT, HEARD, OR ARBITRATED AS A CLASS ACTION, COLLECTIVE ACTION, MASS ACTION, OR PRIVATE ATTORNEY GENERAL ACTION, AND THE RIGHT TO PARTICIPATE AS A CLASS MEMBER, COLLECTIVE MEMBER, OR REPRESENTATIVE. The arbitrator may not consolidate or join the claims of multiple persons and may not preside over any form of representative or class proceeding. If this class-action waiver is found to be unenforceable as to any claim, that claim shall be severed and proceed in court, but the remaining claims shall be arbitrated.

Excluded claims. Notwithstanding the foregoing, either party may (a) bring an individual action in small-claims court for claims that qualify under that court's jurisdiction; (b) seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual-property rights or confidentiality obligations; and (c) bring an enforcement action in court to enforce an arbitration award.

30-day right to opt out. You have the right to opt out of this arbitration agreement (including the class-action waiver) by emailing legal@tiptap.world with the subject line "Arbitration Opt-Out" and including your full name, address, and the email associated with your TipTap World account, within 30 days of the date you first accepted these Terms. An opt-out notice sent after this 30-day period is not effective. Opting out will not affect any other provision of these Terms.

Severability of this section. If any portion of this Section 19 (other than the class-action waiver, the severability of which is governed above) is found to be unenforceable, that portion shall be severed and the remainder of this section shall remain in full force and effect.

20. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by email to the address associated with your account or through the Service at least 30 days before the effective date of the change, except where a shorter period is required by law or where the change is necessary to comply with a legal or regulatory requirement. Non-material changes (such as clarifications, formatting, or contact-information updates) will be effective upon posting. The "Last Updated" date at the top of these Terms reflects the most recent revision. Your continued access to or use of the Service after the effective date of a revised version of these Terms constitutes your acceptance of the revised Terms; if you do not agree, you must stop using the Service before the effective date.

21. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and TipTap World regarding the Service and supersede all prior or contemporaneous communications and proposals.

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

No waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of TipTap World.

Assignment. You may not assign or transfer these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this section is void. We may assign these Terms, in whole or in part, to any successor in interest in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.

Force majeure. We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, pandemics, labor disputes, war, terrorism, civil unrest, government action, network or utility outages, or third-party service-provider failures.

No agency. Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship between you and TipTap World.

Headings. Section headings are for convenience only and have no legal effect.

Electronic notices. You consent to receive communications from us electronically. Notices to you may be sent by email or posted within the Service. Notices to us must be sent to legal@tiptap.world.
